The terms for using this site and the client portal, and for the websites we build and host.
Effective 19 October 2026.
Part A covers anyone using aedonyx.io and the client portal. Part B covers clients who buy website design, publishing or hosting. Part C covers copyright complaints about hosted sites.
Aedonyx is the trading name of JEM Consulting Associates, Inc., a New York corporation. "Aedonyx", "we" and "us" mean that company. Contact: james@aedonyx.io or (516) 417‑2498.
Part A · Using the site and the portal
What this site is
A description of what Aedonyx builds (custom AI tools and websites), examples of its work, a form to start a conversation, and a portal for clients. The content is general information. It is not an offer; work starts only under a written proposal both sides have accepted.
Not engineering
Aedonyx builds software that engineering and other professional firms use. It does not provide engineering services, and nothing on this site, in a tool Aedonyx builds, or in a reply from Aedonyx is engineering advice. A client remains responsible for checking any output a tool produces before relying on it.
Portal accounts
Portal accounts are for Aedonyx's clients and the people a client invites. Keep your password to yourself, turn on two-step sign-in, and tell us at once if you think someone else has used your account. A client's account owner decides who on their team has access and is responsible for what those people do in the portal. We may suspend an account to protect the portal or other clients.
Examples of work
The portfolio shows work Aedonyx has done or built to show its methods. Some examples use fictional businesses made up for the demonstration; they are not real firms. Results described are for the project described and are not a promise of the same result for yours.
Links
Links to other sites lead to sites we do not control and are not responsible for.
Copyright
The text, images, film and code of aedonyx.io are © JEM Consulting Associates, Inc., and may not be reproduced without permission. Brief quotation with attribution is welcome.
No warranty; limit of liability
The site and portal are provided as they are. To the extent the law allows, we are not liable for any indirect or consequential loss from using them. Nothing here limits a liability the law does not allow to be limited.
Law
New York law governs these terms. Any dispute goes to the state courts in Nassau County, New York, or the United States District Court for the Eastern District of New York.
Changes
This page carries its effective date. Changes are made here. A change to Part B that affects a client's existing service is emailed to that client at least 30 days before it applies.
Part B · Website services
What governs a project
Each project has a written proposal (scope, price, schedule). The proposal controls where it differs from these terms; these terms cover what the proposal does not say.
What you give us
You supply the text, photos, logos and other material for your site, or approve what we write or choose for you. You confirm you have the right to use everything you supply and that it is accurate and lawful. You are responsible for what your site says about your own business, including any claims, licences, prices and legal pages.
Who owns the site
When the project is paid in full, you own the finished design and the content of your site, and we give you a copy on request. We keep ownership of our own tools, templates, code libraries and know-how that we use across projects; you get a permanent licence to use whatever of them is in your site, for your site. Fonts, stock images, maps and other third-party pieces stay under their makers' licences, which we tell you about. We may show your site in our portfolio unless you ask us not to.
Your domain and your email
Your domain name and your email stay in accounts in your name. We need access to change the domain's records; we do not take ownership of it, and you can revoke our access at any time.
Hosting
Hosting means serving your site on our server with a security certificate, and backups. Maintenance and monitoring (updates, changes, watching the site for problems) are a separate service with a separate fee, offered where your proposal includes them. Other changes are quoted separately.
- Backups. The server is backed up regularly. Keep your own copy of anything you cannot replace.
- Uptime. We work to keep your site running but do not guarantee uninterrupted service. Planned maintenance is done at quiet hours where we can.
- What is not covered. Outages caused by your domain registrar, your email provider, your own changes, or events outside our control.
Fees, renewal and cancelling
- Prices are in US dollars. Hosting is billed monthly in advance: $50 a month, unless your proposal sets a different price. Maintenance and monitoring, where your proposal includes them, are billed on the same invoice at the price in the proposal. The first month is free where your proposal says so.
- It renews automatically each month until you cancel. You can cancel at any time from Billing in the portal, or by emailing james@aedonyx.io. Hosting then runs to the end of the current billing period and stops. Part periods are not refunded, and any invoice already issued is still due.
- Invoices are due 30 days from issue. There is no late fee.
- We give at least 30 days' notice by email before a price change. You can cancel before it applies.
Refunds
- Hosting: as above. Cancelling stops the next charge; the current billing period is not refunded.
- Design deposits and project payments: refunded in full if you cancel before work starts. Once work has started, payments for work already done are not refunded.
- AI workflow diagnostic: refunded in full if you cancel before the kickoff meeting. After kickoff it is not refunded, and it is credited in full against a build ordered within 90 days of the diagnostic memo.
- Disputes: if a charge looks wrong, email james@aedonyx.io first. We refund any charge made in error.
What may not be hosted
We do not host material that is illegal; that infringes someone else's copyright, trademark or privacy; that is malware, phishing or spam; that harasses or defrauds people; or that puts the server or other clients at risk. If we find it, we may remove it or suspend the site, telling you why, and immediately if there is a risk to others.
Suspension
We may suspend a site for an invoice more than 30 days overdue after telling you by email at least 7 days before, for material described in B7, or to stop a security problem. A suspended site comes back when the reason is resolved.
Accessibility and legal compliance
We build sites to current accessibility good practice (clear structure, text alternatives for images, keyboard use, readable contrast). We do not guarantee that a site meets any law or standard, including the Americans with Disabilities Act, because that depends on content and changes you control. Your site's own privacy page and terms are yours; we can write them as part of the build if your proposal includes it.
Leaving
If you cancel, or either side ends the service, we give you the site's files on request, and help move it to another host at our hourly rate if you want that. After that we delete our copies, except backups, which expire on their own, and invoices, which we keep for tax records.
Limit of liability
Our total liability for any claim about a project or a hosting service is limited to what you paid us for it in the 12 months before the claim. We are not liable for lost profits, lost data, or indirect or consequential loss.
Your responsibility for your content
You agree to cover our reasonable costs if a third party brings a claim against us over material you supplied or asked us to publish.
AI tool engagements
Custom AI tools are built under their own written proposal, which sets out the scope, the environment the tool runs in, whose AI provider account it uses, and who owns what. Part B applies to them only where that proposal says so, except the refund rules in B6a, which always apply.
Part C · Copyright complaints
Sending a notice
If you believe a site Aedonyx hosts infringes your copyright, send a notice to our designated agent, registered with the U.S. Copyright Office (DMCA-1083458):
Copyright Agent · JEM CONSULTING ASSOCIATES, INC. d/b/a Aedonyx · 11 Hudson Street, Hicksville, NY 11801 · (516) 417‑2498 · james@aedonyx.io
The notice must come from the copyright owner or someone authorised to act for them, and must include: a physical or electronic signature; the work you say is infringed; the material you say infringes it and where it is; your contact details; a statement that you believe in good faith the use is not authorised by the copyright owner, its agent, or the law; and a statement, under penalty of perjury, that the notice is accurate and that you are the owner or authorised to act for the owner.
What happens next
We will remove or disable the material and tell the client. A client who believes the material was removed by mistake may send a counter-notice under 17 U.S.C. §512(g). We end hosting for a client who repeatedly infringes.
